This Terms and Conditions Agreement (“Agreement”) is entered into between you (“User,” “you,” or “your”) and Rapid Sign California, a California limited liability company (“Company,” “we,” “us,” or “our”), and governs your access to and use of all services provided through our platform, website(s), applications, software, and associated technologies (collectively, the “Service”).

By accessing or using any part of the Service, you agree to be legally bound by this Agreement. If you do not agree to these Terms, you may not access or use the Service.

1. Eligibility

You represent and warrant that you are at least eighteen (18) years of age, are legally competent to enter into binding agreements, and are not otherwise prohibited from accessing or using the Service under applicable law. If you access the Service on behalf of a legal entity, you represent that you have full authority to bind that entity to these Terms.

2. Use of the Service

You agree to use the Service only in accordance with applicable law and this Agreement. You shall not, directly or indirectly:

• Submit false, misleading, or incomplete information.
• Engage in or facilitate fraudulent or unauthorized transactions.
• Impersonate another person or entity or misrepresent your affiliation.
• Access or attempt to access any data, content, or system not intended for your use.
• Attempt to circumvent, disable, or interfere with any security features or access controls, including but not limited to firewalls, authentication systems, user permissions, or content protection mechanisms.
• Use the Service for any unlawful, abusive, harassing, or otherwise objectionable purpose.

Any breach of the above shall constitute grounds for immediate suspension or termination of access, and may result in civil and/or criminal liability.

3. User Accounts

To access certain Service features, you may be required to register an account. You agree to provide accurate and complete information, maintain the confidentiality of your credentials, and assume full responsibility for all activities under your account. You must promptly notify us of any unauthorized use or security breach.

4. Intellectual Property

All content, features, source code, trademarks, service marks, logos, and related intellectual property appearing in or through the Service are the exclusive property of Rapid Sign California or its licensors and are protected under United States and international copyright, trademark, and intellectual property laws. Unauthorized use is strictly prohibited.

5. Payment and Billing

Where fees are required for certain features or services, you agree to pay all applicable charges in accordance with the rates and billing terms provided at the time of purchase. All payments are non-refundable unless required by law. We reserve the right to change pricing or fees upon reasonable notice.

6. Fraudulent Use and Notarial Misconduct

You agree not to use the Service for any fraudulent activity, including but not limited to forging documents, misrepresenting information, or engaging in unlawful notarial acts.

Any notary who knowingly notarizes a document that is false, forged, or fraudulent, or who participates in such activity, is in violation of California law, including Government Code § 8214.1, and may be subject to civil penalties, criminal prosecution, permanent disqualification from the platform, and fines up to $10,000 per offense.

Rapid Sign California reserves the right to report suspected misconduct to the California Secretary of State, law enforcement authorities, and other relevant agencies.

7. Circumvention of Security or Access Controls

You are strictly prohibited from:

• Attempting to disable, bypass, or otherwise interfere with any security-related feature of the Service.
• Gaining or attempting to gain unauthorized access to any server, database, system, or data.
• Using automated scripts, robots, scrapers, or other tools to extract or misuse content or resources.
• Reverse engineering, decompiling, or otherwise analyzing source code or data structures except where explicitly permitted by law.

Any such activity constitutes a material breach of this Agreement and may result in legal action, including injunctive relief and monetary damages.

8. Termination

We reserve the right to suspend or terminate your account or access to the Service at any time, without prior notice, for any violation of these Terms, applicable law, or misuse of the platform. Upon termination, all rights granted to you shall immediately cease.

9. Disclaimers

The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied. Rapid Sign California does not warrant that the Service will be error-free, uninterrupted, secure, or that defects will be corrected.

10. Limitation of Liability

To the maximum extent permitted by law, in no event shall Rapid Sign California, its affiliates, officers, employees, or agents be liable for any indirect, incidental, special, punitive, or consequential damages, or any loss of profits, data, or goodwill, arising out of or related to your use of the Service, even if advised of the possibility of such damages.

11. Governing Law and Jurisdiction

This Agreement shall be governed by the laws of the State of California, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to the Service or these Terms shall be brought exclusively in the courts located in Los Angeles County, California, and you irrevocably submit to the jurisdiction of such courts.

12. Modifications

We reserve the right to modify these Terms at any time. Updated versions will be posted on our website with the revised effective date. Continued use of the Service after such updates constitutes acceptance of the modified Terms.
